Terms of Service

1. General Provisions

These Terms of Service ("Terms") govern the business relationship between HuaLin ("Company", "we", "us", or "our") and our business clients ("Client", "you", or "your"). HuaLin is a specialized B2B manufacturer providing OEM (Original Equipment Manufacturer) and ODM (Original Design Manufacturer) services for premium silicone baby products and electronic accessories.

By requesting a quote, submitting a purchase order, or engaging in product development with HuaLin, you agree to be bound by these Terms. Please note that we do not engage in retail business; our services are strictly tailored for brands, wholesalers, distributors, and bulk importers.

2. OEM/ODM Services & Scope

We provide end-to-end manufacturing solutions, ranging from conceptual industrial design to mass production. Our core capabilities include:

• Custom mold development and precision tooling with tolerances controlled within ±0.1mm.
• Injection molding using both solid silicone (32 machines) and liquid silicone (17 machines).
• Multi-material manufacturing, including silicone bonded with plastics or metals.
• Post-processing services including die-cutting, adhesive backing, oil spraying, silk-screen printing, pad printing, and UV modification.

All project specifications, including 3D models, material requirements, and packaging details, must be finalized and approved in writing by the Client prior to the commencement of mold creation or mass production.

3. Quality Assurance & Compliance

HuaLin is committed to the highest standards of safety and quality, particularly for baby care essentials. We guarantee that:

• All raw materials are 100% food-grade silicone, free from BPA, toxins, and odors.
• Products comply with major international environmental and safety standards, including FDA, LFGB, CE, UL, RoHS, and REACH.
• Every production batch undergoes rigorous internal testing, including tensile strength, constant temperature & humidity, aging, tear resistance, and impact tests.

While we conduct 100% full inspection prior to shipment, it remains the Client's responsibility to ensure that the customized products comply with the specific local regulations and import laws of their target markets.

4. Orders, Pricing & Production

Quotes & Pricing

All quotes provided by HuaLin are valid for a period of 30 days unless stated otherwise. Prices are typically quoted in USD under FOB or EXW terms, depending on the agreement. Pricing is subject to change based on raw material market fluctuations, but any changes will be communicated prior to order confirmation.

Tooling & Mold Fees

For custom OEM/ODM projects, mold and tooling fees must be paid in full before development begins. Depending on the long-term contract and order volume, mold fees may be partially or fully refunded once a pre-agreed mass production quantity is reached.

Lead Times

Estimated lead times for prototyping, mold making, and mass production will be provided upon project assessment. While we strive to meet all deadlines, HuaLin shall not be liable for delays caused by force majeure events, including but not limited to raw material shortages, shipping disruptions, or government restrictions.

5. Intellectual Property & Confidentiality

We deeply respect the intellectual property of our clients. For all OEM projects:

• Any designs, blueprints, 3D files, and proprietary concepts provided by the Client remain the exclusive property of the Client.
• HuaLin agrees to sign Non-Disclosure Agreements (NDAs) and guarantees that custom molds and distinctive designs will never be used to manufacture products for third parties or sold on the open market.
• For ODM projects where HuaLin provides the initial design, intellectual property rights will be negotiated and outlined in the specific manufacturing agreement.

6. Limitation of Liability

To the maximum extent permitted by applicable law, HuaLin shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, or data, arising from the manufacturing, shipping, or subsequent retail sale of the products by the Client.

Our maximum liability for any defective batch, subject to verified internal manufacturing faults, shall be strictly limited to the replacement of the defective goods or a refund of the purchase price for that specific batch.
